Services

V Patch Marketing Agency provides the following professional services in Dubai and the UAE:

The specific scope of services for each client engagement is defined in a written proposal or service agreement issued by V Patch Marketing Agency. These Terms apply to all services unless otherwise specified in that agreement.

Service Delivery

V Patch Marketing Agency will deliver all services in accordance with the scope agreed in the client proposal. Standard delivery timelines are as follows:

Timelines are subject to timely receipt of client-provided assets, approvals and feedback. Delays caused by the client's failure to respond or provide required materials will extend delivery timelines accordingly. V Patch Marketing Agency will communicate any material delays promptly.

Payment Terms

Payment terms are as follows unless otherwise specified in the client proposal:

All prices are quoted in UAE Dirhams (AED) unless otherwise stated. Invoices unpaid beyond 10 working days of the due date may incur a late payment fee of 2% per month. V Patch Marketing Agency reserves the right to pause or suspend services on accounts with outstanding invoices.

Intellectual Property

Upon receipt of full payment, V Patch Marketing Agency assigns to the client the rights to use all final deliverables for their intended commercial purpose. Specific intellectual property terms by service type:

Client Responsibilities

The client agrees to:

• Provide accurate, complete and timely information required for project delivery including brand guidelines, assets, product samples and account access
• Respond to review requests, approvals and feedback requests within the timeframe specified in the project proposal — typically 2 to 3 working days
• Ensure that all materials provided to V Patch Marketing Agency are legally owned by the client or properly licensed for use
• Not share login credentials, account access or proprietary deliverables with third parties without prior written consent from V Patch Marketing Agency
• Make payments in accordance with the agreed payment schedule

Revisions and Amendments

Standard revision rounds are included in each service as specified in the project proposal. Revision rounds typically cover:

Revisions that fall outside the agreed scope, represent a change in project direction or require additional production work will be quoted separately and invoiced accordingly. Major scope changes require a revised proposal and agreement before work proceeds.

Cancellation and Termination

Project-based services (CGI, Photography, Web Development): If a client cancels a project after work has commenced, the deposit is non-refundable. Any work completed beyond the deposit value will be invoiced at a pro-rated rate based on the agreed project fee.

Ongoing retainers (Social Media Management, SEO, Ads): Retainer agreements may be terminated by either party with 30 days written notice. Notice must be provided by email to info@vpatch.ae. The client remains responsible for payment of all services rendered during the notice period. Deposits paid for the current service month are non-refundable upon cancellation.

V Patch Marketing Agency reserves the right to terminate any service agreement immediately, without refund, if the client engages in conduct that is abusive, fraudulent or in violation of these Terms.

Confidentiality

Both parties agree to keep confidential any proprietary, business-sensitive or non-public information shared during the course of the engagement. V Patch Marketing Agency will not disclose client business information, campaign data or strategic materials to third parties without prior written consent, except where required by law.

This confidentiality obligation survives termination of the service agreement for a period of 2 years.

Limitation of Liability

V Patch Marketing Agency will deliver all services with reasonable skill and care. However, we do not guarantee specific outcomes including search rankings, follower growth, advertising ROAS, lead volume or revenue generated, as these are influenced by market conditions, platform algorithms and factors outside our control.

To the maximum extent permitted by UAE law, V Patch Marketing Agency's total liability for any claim arising from the services shall not exceed the total fees paid by the client for the specific service giving rise to the claim in the 3 months preceding the claim.

V Patch Marketing Agency is not liable for indirect, consequential, special or incidental damages including lost profits, lost data or business interruption.

Advertising Spend

For Meta Ads and Google Ads management services, the client is solely responsible for funding the advertising account. Ad spend is paid directly by the client to Meta or Google — it does not pass through V Patch Marketing Agency. V Patch Marketing Agency's management fee is separate from and in addition to any ad spend.

V Patch Marketing Agency will manage campaigns in good faith using best practices. Results are not guaranteed. The client accepts full responsibility for ad spend committed to the platform.

Third-Party Platforms

Services including Social Media Management, Search Engine Optimization and Meta and Google Ads depend on third-party platforms (Instagram, TikTok, Google, Meta) whose terms of service and algorithms V Patch Marketing Agency does not control. V Patch Marketing Agency is not responsible for:

• Changes to platform algorithms that affect organic reach or ad performance
• Platform outages, policy changes or account restrictions imposed by the platform
• Changes to Search Engine Optimization rankings resulting from Google algorithm updates
• Account suspension or content removal by the platform for violations of platform policies unrelated to our management

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the Dubai Courts.

Changes to These Terms

V Patch Marketing Agency reserves the right to update these Terms and Conditions at any time. The current version will always be published at vpatch.ae/terms-and-conditions/ with a revised "Last updated" date. Continued use of our services after any update constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.
